Regulatory Strategy & Initial Legal Reviews
Securities and commodities classification, money transmitter analysis, federal stablecoin and market structure legislation, and state digital asset law, delivered as a written memorandum with a sequenced compliance roadmap.
A crypto regulatory assessment analyzes whether a token or structure is a security or a commodity, whether the platform must register with FinCEN or hold state money transmitter licenses, how the enacted GENIUS Act and the pending CLARITY Act affect it, and which state digital asset laws apply. The deliverable is a written memorandum with a sequenced compliance roadmap.
Industria Business Lawyers conducts regulatory strategy engagements for blockchain and digital asset companies. The work covers securities classification under the Howey framework, commodities analysis under CFTC jurisdiction, money transmitter assessment under the Bank Secrecy Act, and state-by-state digital asset law compliance, including California’s DFAL, Illinois’s DACPA, and evolving state sandbox and innovation exemption programs. A consultation is free.
What the Assessment Covers
The regulatory environment for crypto businesses is being reshaped by recent federal legislation. Each assessment maps current obligations and accounts for the frameworks that are enacted and pending.
Securities and Commodities Classification
Analysis of whether tokens, protocol rewards, or investment structures constitute securities under the Howey test or commodities under CFTC jurisdiction. Includes classification under the SEC’s March 2026 interpretive release (Release No. 33-11412), issued with CFTC guidance, and the taxonomy proposed in the pending CLARITY Act.
Money Transmitter and BSA Analysis
Determination of whether the platform triggers FinCEN registration as a money services business and state money transmitter licensing obligations. Covers the Bank Secrecy Act, state-specific statutes, and digital asset-specific exemptions.
GENIUS Act and CLARITY Act Review
The GENIUS Act, signed into law on July 18, 2025, establishes a federal licensing framework for payment stablecoin issuers with specific reserve, disclosure, and AML requirements that take effect on the earlier of January 18, 2027 or 120 days after federal regulators issue final implementing rules. The CLARITY Act (H.R. 3633), which passed the House in July 2025, would allocate jurisdiction over digital assets between the SEC and CFTC through a new digital asset taxonomy. As of September 2026 it has not passed the Senate. The assessment addresses how each will affect the business’s obligations and compliance roadmap.
State Digital Asset Law Compliance
Mapping of applicable state-level digital asset regulations including California’s Digital Financial Assets Law, under which a license (or a pending application or exemption) has been required since July 1, 2026 (Cal. Fin. Code § 3201), Illinois’s Digital Assets and Consumer Protection Act (205 ILCS 731), which requires registration by July 1, 2027, and state innovation exemption and sandbox programs.
Innovation Exemption and Sandbox Assessment
Evaluation of eligibility for state sandbox programs and SEC no-action or exemptive relief that may allow limited operations while the full licensing process is completed, and of the SEC’s proposed Regulation Crypto Assets (not yet adopted).
Written Regulatory Memorandum
Delivery of a written legal memorandum documenting the analysis, identifying risk areas, and providing a sequenced compliance roadmap with prioritized action items.
Who This Serves
The assessment is used before operational or capital allocation decisions are made, and it feeds directly into implementation.
Who it serves. Entrepreneurs preparing to launch a product, protocol teams expanding into new markets, crypto exchanges evaluating U.S. operations, stablecoin issuers assessing federal and state licensing pathways, and any digital asset business that needs to understand its full regulatory exposure before making operational or capital allocation decisions.
What is reviewed. The white paper or product description, token terms and distribution plans, smart contract functions that move or hold value, custody and wallet arrangements, user terms, marketing materials, and the agreements with exchanges, issuers, and service providers. The analysis is only as accurate as the description of how the product actually works, so the review starts with the documents and the flow of value rather than with labels.
Licensing. When the assessment identifies licensing requirements, the firm’s Money Transmitter and VASP Licensing practice handles the applications.
Securities. When it identifies securities implications, the firm’s Digital Asset Formation and Token Issuance team structures the offering.
Stablecoins. When it identifies stablecoin obligations, the firm’s GENIUS Act compliance practice builds the program. The same firm maps the obligations and carries out the work that follows.

FAQ
01 • Digital Asset Businesses Do I need a regulatory assessment before launching a crypto product?
If your product involves a token, enables value transfer, pools capital, or issues stablecoins, it is likely subject to federal and state regulatory obligations. An assessment before launch identifies those obligations while the product can still be designed around them.
02 • Digital Asset Businesses How will the GENIUS Act and CLARITY Act affect my crypto business?
The GENIUS Act creates a federal licensing framework for payment stablecoin issuers with specific reserve, AML, and disclosure requirements, which take effect on the earlier of January 18, 2027 or 120 days after federal regulators issue final implementing rules. The CLARITY Act, which passed the House in July 2025 but has not passed the Senate, would define jurisdictional boundaries between the SEC and CFTC for digital assets. These frameworks can affect compliance obligations for many blockchain businesses, and each assessment accounts for the enacted GENIUS Act and the pending CLARITY Act.
03 • Digital Asset Businesses How long does a crypto regulatory assessment take?
Timing depends on the complexity of the business model and the number of jurisdictions involved. The deliverable is a written legal memorandum with a prioritized compliance roadmap, and the timeline is scoped after reviewing the business specifics.
04 • Digital Asset Businesses Do state digital asset laws apply in addition to federal law?
They can. California’s Digital Financial Assets Law has required a license (or a pending application or exemption) since July 1, 2026 (Cal. Fin. Code § 3201), and Illinois’s Digital Assets and Consumer Protection Act (205 ILCS 731) requires registration by July 1, 2027. The assessment maps which state laws apply to the business.
05 • Digital Asset Businesses What does the written memorandum include?
It documents the analysis, identifies risk areas, and provides a sequenced compliance roadmap with prioritized action items, covering classification, money transmission, federal legislation, state law, and any available relief.
