Carlton serves as fractional General Counsel and principal legal advisor to founders, boards, and executive teams at early- and growth-stage companies, advising on corporate governance and equity administration, investor and shareholder matters, licensing, distribution, joint venture and commercial agreements, employment and human-capital matters, IP portfolio management, brand strategy, and international expansion.
He has appeared before the U.S. International Trade Commission, the Trademark Trial and Appeal Board, U.S. federal courts, and federal regulatory agencies on Lanham Act, intellectual property, and pharmaceutical trade matters. Representative outcomes include serving as lead advocate for a generic pharmaceutical manufacturer in multi-jurisdictional litigation and a Section 337 investigation brought by a large multinational pharmaceutical complainant, resulting in withdrawal of the complaint, and separately negotiating a seven-figure settlement that resolved a shareholder dispute and restored the founder’s controlling equity position. His cross-border and regulatory practice provides the legal infrastructure for international companies operating in the United States, spanning customs and HTSUS classification, scope rulings and prior disclosures, anti-dumping and countervailing duty matters, IPR e-Recordation and gray-market protection, Export Control and Customs Compliance Manual drafting, Hart-Scott-Rodino antitrust review, and CCPA/GDPR data privacy compliance.
